Mergers & Acquisitions Associate

Our client, a nationally recognized law firm with a sophisticated corporate practice, is seeking a Mergers & Acquisitions Associate with 3+ years of experience to join its Seattle office. This opportunity is ideal for an attorney who enjoys working on complex middle-market transactions and partnering with business owners, private companies, and investors on strategic corporate matters. The successful candidate will play a meaningful role throughout the entire deal lifecycle while working closely with experienced dealmakers on sophisticated transactions across a variety of industries.

Key Responsibilities

  • Support buy-side and sell-side mergers and acquisitions for private companies, strategic buyers, and investors.
  • Assist with transaction structuring, due diligence, negotiations, and deal execution.
  • Draft and negotiate purchase agreements, disclosure schedules, ancillary agreements, and closing documents.
  • Coordinate legal due diligence review and manage transaction workstreams across deal teams.
  • Advise clients on corporate governance and other business matters arising in connection with M&A transactions.
  • Work closely with clients, senior attorneys, and opposing counsel to drive transactions toward successful closings.
  • Manage deal timelines, deliverables, and transaction logistics.
  • Collaborate with attorneys across tax, real estate, employment, intellectual property, and technology practices.
  • Support clients on a variety of strategic corporate transactions and general business matters.

Candidates should have 3+ years of M&A experience gained at a law firm with exposure to private company transactions. Ideal candidates will possess strong drafting, negotiation, analytical, and organizational skills, along with the ability to manage multiple transactions in a fast-paced environment. Experience handling due diligence, transaction documentation, and closing processes is highly desirable. A demonstrated interest in sophisticated transactional work and client counseling is essential. Candidates must hold a J.D. from an accredited law school and be admitted to practice in Washington, or eligible to obtain admission promptly.

Compensation is expected to range from $215,000 to $290,000, depending on experience, qualifications, and other relevant factors.
